EXPERIENCE SUMMARY
Helena Francus primarily focuses her practice on providing research with respect to State and Federal cases, statutory and administrative law in all substantive areas, including business, corporate, real estate, bankruptcy, employment and intellectual property; state and federal civil procedure issues including jurisdiction, conflict of laws and appellate review.
Moreover, Ms. Francus has extensive experience in State and Federal litigations and Appellate practice. She also focuses extensively on transactional issues relating to business, corporate and real estate matters.
Business: Drafting, analysis and negotiation of contracts including agreements for sale of a business, employment and consulting agreements, sales and leases of personal property, security agreements, indemnity agreements and guaranties, confidentiality agreements and royalty agreements; all ancillary documentation and compliance with UCC and other laws.
Corporate: Formation, conversion and dissolution of business and professional corporations, limited and general partnerships, and limited liability companies and partnerships; drafting of shareholder, buy-sell, partnership and LLC operating agreements; issuance of securities and filings under California securities laws; transfers of interests; corporate governance.
Real Estate: Commercial and residential purchases, sales and options; title review; office, retail, industrial and residential leasing; loan agreements and other financing documents; construction contracts; assistance with due diligence matters including environmental review; drafting and analysis of CC&R’s and reciprocal easement agreements.
